About the Association

PURPOSE / Preamble

The Roosevelt Court Association is the successor organization to the original Trustee Committee and is responsible for preserving the Court's common areas, including open gardens and walkways.

Its mission is to promote and nurture a welcoming atmosphere among its members by organizing neighborhood committees and events dedicated to natural preservation, historical integrity, community building, and to address issues of common concern to residents.

These bylaws are intended to present the working rules of the Roosevelt Court Association. They supercede any previous bylaws, or other operating rules, known or unknown at this time, that have governed the Roosevelt Court Association, or its predecessor organizations, in the past.

Article I—Membership

All persons, 18 years of age or above, who own or reside in a house on the Roosevelt Court are automatically "resident members." Resident members live on:

47th St. (East side, odd number homes) between Skillman Ave. and 39th Ave.;
39th Ave. (South side, even number homes) between 47th St. and 48th St.; or
48th St. (West side, even number homes) between Skillman Ave. and 39th Ave.

Only members who pay annual dues are entitled to:

Article II—Business Address of the Association

The business address of the Roosevelt Court Association will be the home address of the Treasurer of the Association. The records and correspondence of the Roosevelt Court Association will be stored at the address of the Secretary or President.

Article III—Meetings of the Association

The Annual Business Meeting of the Roosevelt Court Association shall be held each year in October for the purposes of election of the Officers, making any amendments to the bylaws, and any other business as may properly come before the meeting at a place and time to be specified in a written notice of this meeting. Notice for the Annual Business Meeting will be sent to all dues-paying members by mail at least two weeks prior to the meeting.

All Roosevelt Court Association residents and their guests are welcome at all General Roosevelt Court Association meetings. General Association meetings can be called at any time by the President or Secretary of the Roosevelt Court Association, or by any group of dues-paying members when the group numbers at least 6 dues-paying members. The President will be required to call such a meeting in a timely manner.

Notice of General meetings of the Roosevelt Court Association (other than the Annual Business Meeting) can be accomplished by flyers distributed on the doorsteps of the residents.

Every effort shall be made to hold all meetings of the Roosevelt Court Association at locations convenient to residents of the Roosevelt Court.

At General meetings of the Roosevelt Court Association, business may be conducted assuming a quorum of dues-paying members is present. A quorum for a General Association meeting shall consist of no less than 6 dues-paying members.

At all General meetings, each dues-paying member who is present shall be entitled to cast one vote. All motions, including elections and spending of funds, shall pass by a simple majority of those dues-paying members present at the meeting. Voting by proxy shall not be allowed.

Article IV - Organizational Structure: Officers and Committees

Officers

The elected officers of the Roosevelt Court Association shall consist of:

The President shall be the Chief Executive Officer of the Association and shall be in charge of directing the affairs of the Roosevelt Court Association. The President shall preside at all Executive Committee Meetings and all General Association meetings where he/she is present. If the President is absent, the Vice President shall assume the role of the Chair of these meetings. In the absence of both of these officers, the Secretary shall assume the role of chair of these meetings.

The Vice President shall assume duties as designated by the President and/or Executive Committee. In the absence of the President, or in the event of his or her inability to serve, the Vice President shall perform all the duties of the President, and when so acting shall have all the powers of, and be subject to all the restrictions on, the President.

The Secretary shall keep the minutes of the meetings and be the keeper of the non-financial records and correspondence of the association. The Treasurer shall be the financial officer of the Roosevelt Court Association and keep records of income and expenses, handle the banking relationships of the Association, and make all payments as approved according to the guidelines outlined in the bylaws.

No Officer of the Roosevelt Court Association shall receive, or is permitted to accept, either directly or indirectly, any compensation for the duties performed for the Roosevelt Court Association.

Committees

The Executive Committee works on behalf of the Association in conducting the general business of the Roosevelt Court Association in accordance with the bylaws. The Executive Committee consists of the elected Officers, chairs of standing and ad hoc committees, and the immediate past President of the Roosevelt Court Association.

The Executive Committee shall be able to authorize expenditures up to a maximum of $500 for any given expenditure. Amounts in excess of this maximum must be authorized by a majority vote of the dues-paying members at a General Meeting. The maximum amount can be changed by majority vote of the dues-paying members at a General Meeting.

Working committees can be formed at the initiative of the President or other officers, or by vote of the dues-paying members at General Association meetings.

A Chairperson for each committee can be appointed by the Officers for a term not to exceed one year. Proposals by all committees or project leaders must be approved by the Executive Committee.

Article V—Elections

Elections of officers shall be held in October at the Annual Business Meeting. Nominations are to be taken at that meeting, and Officers elected. Vacancies can be filled by special election at a meeting called by the remaining officers with written notice to the membership that this meeting will include the election of a new Officer. The notice will be sent by letter at least two weeks prior to the meeting to all dues-paying members. A quorum of dues-paying members must be present.

Article VI—Financial Practices

The Association shall collect annual dues from all resident members based on the following rates:

Homeowners—$50/year per address

Senior Citizen Homeowners—$35/year per address

Renters—$35/year per household

In addition, for homeowners on common areas, the Executive Committee shall propose a recommended annual maintenance fee for upkeep of these areas.

The Roosevelt Court Association's fiscal year extends from January 1st through December 31st. The Treasurer will send notice of dues to the resident membership during the month of January. Dues are to be paid by check only (made payable to Roosevelt Court Association).

Any resolution to make changes in the amount of dues shall be made at the Annual Roosevelt Court Association meeting and must pass by a two-thirds majority of all dues-paying members present, provided a quorum is achieved.

Dues of the Roosevelt Court Association will be used for operating expenses in carrying out the purpose of the Association.

Article VII—Amendments to the Bylaws

Bylaws can be amended only at the Annual Meeting, assuming a quorum, and shall require a two-thirds majority of dues-paying members present, as well as a two-thirds majority of the dues-paying Homeowner members present. For this purpose at least 3 dues-paying Homeowner members must be present.

Proposed changes to the bylaws must be sent by letter to the dues-paying membership at least two weeks prior to the General Meeting.
